When was Orkla established?
Orkla’s roots date back to 1654, when a copper pyrite mine was started at Løkken. In 1904 the Orkla Grube-Aktiebolag was founded to continue the Løkken Works mining operations. In 1929 the Orkla company was listed on the stock exchange.

Does Orkla have a share purchase programme for employees?

To encourage employees to make a long-term commitment to the company, Orkla has offered employees to buy shares with 20 % discount compared with the price on the Stock Exchange. In November 2007 employees in 26 countries were offered an opportunity to purchase up to 350 shares each in Orkla ASA at a 20 % discount based on the close rate NOK 99.70 on 31 October 2007.

Orkla has an positive attitude towards facilitating “shares for employees” in future years.

Does Orkla have a programme for acquiring own shares?
The General Meeting adopted a resolution to renew the authorisation of the Board of Directors to acquire the company's own shares (number of shares and amount after the share split).
 
"The General Meeting of Orkla ASA hereby authorises the Board of Directors to permit the company to acquire shares in Orkla ASA with a nominal value of up to NOK 125,000,000 divided between a maximum of 100,000,000 shares provided that the company's shareholding of own shares shall not exceed 10 % of share outstanding at any time. The amount that may be paid per share shall be no less than NOK 4 and no more than NOK 120. The Board of Directors shall have a free hand with respect to methods of acquisition and disposal of the company's own shares. This authorisation shall apply from 20 April 2007 until the date of the Annual General Meeting in 2008."

Orkla purchased 1,000,000 shares in Orkla ASA in 2006. No Orkla shares were bought back in 2005, but an equivalent of 0.5 % of outstanding shares were bought back in 2004. As of 31 December 2006, Orkla owned 2,365,095 shares in Orkla ASA.

How can I register for the general meeting?
All the details concerning registration are announced in the official notice regarding the ordinary general meeting that is sent to all shareholders approx. 4 weeks before the meeting. The notice is published in newspapers in Norway, Sweden, Denmark and Finland and on www.orkla.com. Shareholders may register by telephone, post or telefax and via www.orkla.com from the date the notice is published.

How can I exercise my voting right if I am not present at the general meeting?
A shareholder may authorise a representative (proxy) to vote on his or her behalf at the general meeting. The proxy must present the original document of authorisation, at the latest at the general meeting. The authorisation may not have been issued earlier than one year prior to the general meeting.

When and where was the last general meeting held?
The last ordinary general meeting was held on Thursday, 19 April 2007 at Gamle Logen in Oslo.


What is Orkla’s policy as regards return and dividends?

Over time, Orkla has pursued a dividend strategy that focuses on predictability and stability, and a reasonable steady increase in dividend year-on-year, provided that Orkla's business development is satisfactory. The strategy is the same, predictability and stability but from a higher level from 2006. Read more on Orkla's IR pages.


In what currency is the dividend paid out if the shares are under management?

The national central securities depositories distribute the dividend. The depositories will ask the custodian bank whether it prefers to have the dividend paid out in local currency or in Euro.

How do I receive the dividend?
It will automatically be transferred to the account registered as the shareholder’s securities account. Questions and changes regarding the shareholder’s securities account must be addressed to the account manager.
